These Terms of Use (“Terms”) govern your use of localoo.net, localoo.co.jp, and related services (collectively, the “Services”) operated by Localoo Inc. (“Localoo,” “we,” “us,” or “our”). By using the Services, you agree to these Terms, our Privacy Policy, and our Review Submission Rules.

本利用規約（以下「本規約」といいます。）は、Localoo Inc.（以下「当社」といいます。）が運営する localoo.net、localoo.co.jp および関連サービス（以下総称して「本サービス」といいます。）の利用条件を定めるものです。ユーザーは、本サービスを利用することにより、本規約、プライバシーポリシーおよびレビュー投稿規約に同意したものとみなされます。

1. Eligibility / 利用資格

The Services are available only to users who are 16 years of age or older. If you are under 16, you may not create an account, use Google Sign-In, submit reviews, contact us, subscribe to newsletters, or use any feature that requires you to provide personal data. By using the Services, you represent and warrant that you are at least 16 years old.
本サービスは、16歳以上の方のみ利用できます。16歳未満の方は、アカウント登録、Google Sign-In、レビュー投稿、お問い合わせ、ニュースレター登録その他個人情報の提供を伴う機能を利用できません。ユーザーは、本サービスを利用することにより、自らが16歳以上であることを表明し、保証するものとします。

2. Accounts / アカウント

You must provide accurate and up-to-date information and are responsible for maintaining your account securely. You may not transfer, lend, share, or misuse your account. We may suspend or delete your account if you provide false information, violate these Terms, are found to be under 16, or if we otherwise determine your use is inappropriate.
ユーザーは、真実かつ最新の情報を登録し、自己の責任でアカウントを適切に管理するものとします。アカウントの譲渡、貸与、共有または不正使用は禁止します。当社は、虚偽の登録、本規約違反、16歳未満の利用、その他当社が不適切と判断した場合、アカウントの停止または削除その他必要な措置を講じることができます。

3. Reviews and User Content / レビュー・投稿コンテンツ

You may submit reviews, comments, photos, profile information, and other content through the Services. Submitted content may be publicly displayed and may be visible to other users or the general public. You are solely responsible for the content you submit. By posting content, you grant Localoo a non-exclusive, worldwide, royalty-free right to use, display, reproduce, edit, translate, distribute, and publish that content for operating, promoting, and improving the Services.
ユーザーは、本サービスを通じて、レビュー、コメント、写真、プロフィール情報その他のコンテンツを投稿することができます。投稿されたコンテンツは公開され、他のユーザーまたは一般に閲覧される場合があります。投稿内容に関する責任は、ユーザー本人が負うものとします。ユーザーは、投稿することにより、当社に対し、本サービスの運営、表示、複製、編集、翻訳、配信、掲載、広報および改善のために、当該コンテンツを無償で利用する非独占的かつ全世界的な権利を許諾するものとします。

4. Prohibited Conduct / 禁止事項

You may not:

• violate any law or public policy;

• submit false or misleading information;

• post defamatory, abusive, hateful, obscene, violent, or offensive content;

• disclose personal data improperly;

• infringe any copyright, trademark, privacy right, publicity right, or other rights of others;

• post advertising, solicitation, spam, or unauthorized commercial content;

• engage in unauthorized access, impersonation, or misuse of accounts;

• interfere with the operation of the Services;

• use restricted features if you are under 16; or

• engage in any other conduct we consider inappropriate.

ユーザーは、以下の行為をしてはなりません。

• 法令または公序良俗に反する行為

• 虚偽または誤解を招く情報の登録または投稿

• 誹謗中傷、差別的、わいせつ、暴力的、攻撃的または不快な内容の投稿

• 個人情報の不適切な開示

• 著作権、商標権、プライバシー権、肖像権その他第三者の権利を侵害する行為

• 広告、勧誘、スパムその他無断の営利目的の投稿

• 不正アクセス、なりすまし、アカウントの不正利用

• 本サービスの運営を妨害する行為

• 16歳未満で制限対象機能を利用する行為

• その他、当社が不適切と判断する行為

5. Changes to or Suspension of the Services / サービスの変更・停止

We may modify, suspend, discontinue, or terminate all or part of the Services at any time, as necessary.
当社は、必要に応じて、本サービスの全部または一部を変更、中断、停止または終了することができます。

6. Intellectual Property / 知的財産権

All intellectual property rights in the Services and related content belong to Localoo or the relevant rights holders. You may not use any content from the Services except as permitted by law or with proper authorization.
本サービスおよび本サービスに関連するコンテンツに関する知的財産権は、当社または正当な権利者に帰属します。ユーザーは、法令で認められる場合または正当な許可がある場合を除き、本サービス上のコンテンツを利用してはなりません。

7. Disclaimer of Warranties and Limitation of Liability / 免責

We do not guarantee that the Services or any content will be accurate, complete, useful, uninterrupted, or error-free. You use the Services at your own risk. To the fullest extent permitted by law, Localoo is not liable for any damages arising from your use of or inability to use the Services, except where caused by our willful misconduct or gross negligence.
当社は、本サービスまたはその内容について、正確性、完全性、有用性、継続性または無エラー性を保証するものではありません。ユーザーは、自らの責任において本サービスを利用するものとします。法令上許容される最大限の範囲で、当社は、本サービスの利用または利用不能により生じた損害について、当社の故意または重過失による場合を除き、責任を負いません。

8. Suspension, Termination, and Account Deletion / 利用停止・退会・アカウント削除

We may remove content, suspend access, or delete accounts if you violate these Terms, are under 16, or if we otherwise determine that action is necessary. You may also close your account using the methods provided by us. We may retain certain information as required for legal compliance, security, fraud prevention, dispute resolution, or recordkeeping.
当社は、ユーザーが本規約に違反した場合、16歳未満であることが判明した場合、またはその他必要と判断した場合、投稿削除、利用停止またはアカウント削除等の措置を講じることができます。ユーザーは、当社所定の方法により退会またはアカウント削除を行うことができます。当社は、法令遵守、セキュリティ確保、不正防止、紛争対応または記録保管のため、一定の情報を保持することがあります。

9. Privacy / 個人情報の取扱い

Our handling of personal data is governed by our Privacy Policy.
当社による個人情報の取扱いは、別途定めるプライバシーポリシーによるものとします。

10. Changes to These Terms / Governing Law / 規約変更・準拠法

We may update these Terms from time to time. Updated Terms become effective when posted on the Services or as otherwise stated by us. These Terms are governed by the laws of Japan, and any disputes arising in connection with the Services shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
当社は、本規約を随時変更することができます。変更後の本規約は、本サービス上に掲載した時点または当社が別途定める時点から効力を生じます。本規約は日本法に準拠し、本サービスに関して生じる一切の紛争については、東京地方裁判所を第一審の専属的合意管轄裁判所とします。
